Terms of Service

You must be at least 16 years old and capable of forming a binding contract to use the Service. You agree to provide accurate information when registering and to keep your account credentials secure. You are responsible for any activity that occurs under your account.

• Some features of the Service require a paid subscription. Pricing, plan limits, and included usage are described on the pricing page and may change with notice.
• You authorize us and our payment processor to charge the payment method on file for the recurring fee of your selected plan, plus any usage-based charges, until your subscription is cancelled.
• Subscriptions auto-renew at the end of each billing cycle. You may cancel at any time through your account; cancellation takes effect at the end of the current paid period.
• Except where required by law, fees are non-refundable and partial-period charges are not prorated when you downgrade or cancel.
• Tokens, credits, or other usage allowances expire at the end of the period in which they are granted unless stated otherwise and have no cash value.

You agree not to use the Service to:

• Violate any law, regulation, or third-party right, including intellectual property, privacy, and publicity rights.
• Upload, publish, or schedule content that is unlawful, defamatory, harassing, hateful, sexually explicit involving minors, or that promotes violence or self-harm.
• Circumvent, disable, or interfere with security or authentication features of the Service or any connected platform.
• Reverse engineer, scrape, or attempt to derive the source code of the Service except as expressly permitted by law.
• Use the Service to send spam, distribute malware, or impair the integrity of any system or network.
• Resell or sublicense the Service without our written permission.

You retain ownership of the content you upload to the Service or that we retrieve from your connected platforms on your behalf (“Your Content”). To operate the Service, you grant SocialRex a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Your Content solely for the purpose of providing, securing, and improving the Service for you. The license ends when Your Content is deleted from our systems, except for residual copies retained as part of ordinary backup procedures or as required by law.

The Service interoperates with third-party platforms (such as TikTok, Instagram, YouTube, Google, and our payment processor). Your use of those platforms is governed by their own terms and privacy policies. You are responsible for complying with the terms of any platform you connect, and for any actions taken through your account on those platforms via the Service. We are not responsible for the availability, accuracy, or behavior of third-party services.

Some features use machine-learning models to analyze content, draft scripts, or generate images, video, and audio. Output may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing AI-generated output before publishing or relying on it, and for ensuring that any output you publish complies with applicable laws and the policies of the platform you publish to.

Except for Your Content, all rights, title, and interest in and to the Service, including software, designs, trademarks, and documentation, are owned by SocialRex or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted by implication, estoppel, or otherwise.

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Service, or third parties. You may stop using the Service at any time and cancel your account from the dashboard. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error-free, that defects will be corrected, or that any analysis or recommendation will achieve a particular result.

To the maximum extent permitted by law, SocialRex and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim or (b) one hundred U.S. dollars.

You agree to defend, indemnify, and hold harmless SocialRex, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any law or third-party right.

We may modify, suspend, or discontinue any part of the Service at any time. We may also revise these Terms from time to time; when we do, we will update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts, unless a different venue is required by law.
